As I say regularly, reading filings is more of an art than a science, so it's always good to have different perspectives, especially from the company, to further explain a footnote in the filing. In the nearly 5 years footnoted has been around, only a handful of companies have ever weighed in, even though their comments are always welcome.</description>

As you know the accounting treatment for the amount paid above book value in conjunction with an acquisition is primarily classified as intangible assets including goodwill.  Goodwill is typically attributed to items like: 1) intellectual property (e.g. trade secrets, organization and people), 2) brand equity and 3) expected future cash flows from the business.  MessageOne, is an industry leader in Software-as-a-Service (SaaS) enabled e-mail continuity, compliance, archiving, and disaster recovery services and is another key piece in expanding Dell's services offerings.  Over the last year we have actually completed 8 acquisitions -- they are a part of an overall strategy to fuel growth in five key areas: Consumer, Emerging Markets, Notebooks, Enterprise and Small Medium Business -- and they are done with our fundamental belief that each one will be accretive to earnings and cash flows over the long-term.
